Lottery.com has made waves in the business world by signing an amended Stock Purchase Agreement (SPA) to acquire Nook Holdings Limited, a prominent sports, health, and wellness incubator based in Dubai. This acquisition, valued at approximately $2.5 million, is structured as an all-cash transaction and is anticipated to be finalized by the end of this month.

Upon completion of the deal, Lottery.com will take a commanding 90% control of Nook Holdings. This strategic acquisition highlights Lottery.com’s ambitions to expand its operations and reinforce its presence in the rapidly growing sports and wellness sectors.

Founded by entrepreneur Ravi Bhusari, Nook Holdings has carved a niche within the UAE’s sports startup landscape over the past five years. The company has been instrumental in supporting the launch and growth of several startups and entrepreneurs, focusing on various facets of the sports and wellness sectors.

Nook’s core offerings include vital services such as operational setup, licensing, VAT registration, and community integration. These services have made it a favorable launchpad for emerging businesses aiming to establish a foothold in the competitive market of Dubai.
